Aluna Partners Group Advises on Acquisition of UK Digital Food Brands Portfolio

The transaction accelerates the buyer’s expansion in the UK, strengthening its network of host kitchens and enhancing its portfolio of virtual culinary brands.
The acquired assets include digital food brands, intellectual property, websites, domains, social media channels, training and marketing materials, food recipes, trademarks, listing pages on major food delivery platforms, IT hardware, and branded packaging materials. The asset purchase agreement allows the buyer to acquire revenue-generating assets from an established company without assuming associated liabilities. Existing contracts with food delivery aggregators have been novated, and most of the partner kitchens have agreed to enter new catering agreements with the buyer.
The buyer is a business-to-business-to-consumer technology platform that leverages idle capacity in fully equipped kitchens to launch proprietary virtual food brands. Host kitchens are paid on a per-SKU basis and supplied with packaging, while the platform manages online sales through aggregators, marketing, and customer experience. This approach allows partner kitchens to increase efficiency and revenue without the buyer taking on capital expenditure for kitchen operations.
